These Terms of Service (“Terms”) govern your access to and use of the rem OU website (https://remindlydesk.online/), the rem OU customer dashboard, and the WordPress plugin rem OU – Safe Replace (Undo) (together, the “Services”). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms.

2. The Services

The Services provide a safer workflow for bulk database Search & Replace in WordPress: preview changes, apply changes, and keep an undo log to roll back when needed. Access to updates and certain features may require an active subscription and license.

3. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for activities under your account. You must provide accurate account information and promptly update it if it changes.

4. Subscriptions, billing, and taxes

Paid plans may renew automatically unless you cancel. Prices, plan features, and renewal terms are shown at checkout and in your dashboard. Payments are processed by third‑party payment providers. We do not store full payment card numbers.

You are responsible for any applicable taxes, duties, or fees required by your jurisdiction, unless we are required to collect them.

5. Trials

If we offer a trial, trial access ends automatically at the end of the trial period unless you purchase a paid plan. Trial terms may vary and will be displayed in your dashboard.

6. Refunds

Unless required by applicable law, payments are non‑refundable. If you are a consumer in the European Union, you may have mandatory rights under EU consumer protection law, including rights related to digital content and services. Where such rights apply, these Terms do not limit them.

7. Acceptable use

You agree not to:

  • Use the Services for unlawful, harmful, or abusive purposes.
  • Attempt to bypass licensing, security controls, or access restrictions.
  • Interfere with or disrupt the Services or the networks that provide them.
  • Upload or transmit malware or other harmful code.
  • Reverse engineer or copy the Services except to the extent permitted by applicable law.

8. License and intellectual property

We grant you a limited, non‑exclusive, non‑transferable license to use the plugin for your internal or business purposes in accordance with your subscription plan. The Services, plugin code, documentation, trademarks, and branding remain our property.

9. User content and websites

You are responsible for your WordPress site, your database content, and any changes you apply using the plugin. Always create backups before running bulk operations. You acknowledge that bulk database updates can be risky and you use the Services at your own discretion.

10. Support

Support is provided via email at [email protected]. Response times are best‑effort unless a specific support level is stated in your plan.

11. Disclaimer of warranties

The Services are provided “as is” and “as available”. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

12. Limitation of liability

To the maximum extent permitted by applicable law, rem OU will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for claims relating to the Services will not exceed the amounts you paid to us for the Services during the 3 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, certain liabilities for consumers in the EEA/UK).

13. Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate access if you materially breach these Terms, misuse the Services, or if we must do so to comply with law. Upon termination, your right to use the plugin and associated services may be limited according to your plan and applicable law.

15. Changes

We may update these Terms from time to time. The current version is posted at https://remindlydesk.online/terms-of-service/. If changes materially affect your rights, we will provide reasonable notice (for example, by email or in your dashboard).

16. Governing law and dispute resolution

These Terms are governed by the laws of Georgia. If you are a consumer residing in the EEA or the UK, you may also benefit from mandatory consumer protection provisions of the laws of your country of residence. Courts of competent jurisdiction in Georgia shall have jurisdiction, without prejudice to mandatory consumer rights.

We do not require mandatory arbitration. If you have a complaint, please contact us first and we will try to resolve it.
